HDFC Bank has uncovered evidence that two senior executives disclosed confidential business strategies and potentially market-sensitive information to external parties, triggering an internal review to determine whether the data was misused.

The executives, who oversee major divisions at the bank, were identified during an internal investigation launched after senior leadership raised concerns over potential information breaches. The probe remains active as the bank evaluates the full extent of the disclosures.

An HDFC Bank spokesperson confirmed that an internal review into the matter is currently underway to gather and evaluate all relevant facts. The spokesperson noted that the bank takes reports of potential violations seriously and will take appropriate action once the review is complete, adding that the lender remains committed to maintaining high standards of governance and ethics.

Management transition at India's largest lender

The internal investigation coincides with a planned leadership transition at the bank, which holds a market valuation of approximately $115 billion. Anup Bagchi, a former ICICI Group executive, is scheduled to take over as chief executive on 27 October.

Bagchi succeeds Sashidhar Jagdishan, who decided not to seek a further term after six years leading the lender. Meanwhile, deputy managing director Kaizad Bharucha is scheduled to step down at the end of December.

Internal governance and institutional response

Senior management and board members received the initial findings of the probe earlier this year, and both executives involved have been formally informed. The bank has not disclosed what specific disciplinary measures or regulatory notifications may follow.

The findings follow an eventful year for the lender's board. In March, former chairman Atanu Chakraborty resigned from his post, though an independent legal review commissioned by the bank subsequently cleared the institution of the concerns raised during his exit.

Founded in 1994 as India opened its banking sector to private competition, HDFC Bank has established itself as a flagship institution in the national financial system, known for its robust retail franchise and balance sheet stability.
